1. Acceptance of Terms

By accessing or using Regtrue ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and IMPACTIO TECHNOLOGY OÜ ("Company", "we", "us", or "our").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Regtrue is a cloud-based compliance and sustainability reporting platform that provides:

• ESG (Environmental, Social, Governance) reporting tools
• VSME (Voluntary SME Standard) compliance support
• ESRS (European Sustainability Reporting Standards) reporting
• NIS2, DORA, EUDR, CBAM, PPWR compliance modules
• AI-assisted data entry and validation
• Document management and evidence storage
• Export functionality for regulatory submissions
• Collaboration tools for teams

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized account use

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Subscription & Payments

4.1 Subscription Plans

The Service is offered under various subscription plans with different features and pricing. Current pricing is available at https://app.regtrue.com/vsme-pricing.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, you will be required to select a paid subscription to continue using premium features.

4.3 Payment Terms

• Payments are processed through Stripe, our payment processor
• Subscriptions are billed in advance on a monthly or annual basis
• All prices are in EUR unless otherwise stated
• Prices exclude applicable VAT/taxes which will be added at checkout

4.4 Refunds

Annual subscriptions may be refunded within 14 days of purchase if the Service has not been substantially used. Monthly subscriptions are non-refundable. Contact info@regtrue.com for refund requests.

5. User Obligations

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code
• Resell, sublicense, or redistribute the Service without authorization
• Use automated systems (bots, scrapers) without permission
• Upload content that infringes intellectual property rights
• Harass, abuse, or harm other users

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations.

6. Intellectual Property

The Service, including its software, design, logos, documentation, and all related materials, is owned by IMPACTIO TECHNOLOGY OÜ and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

Regtrue, our logo, and related trademarks are the property of IMPACTIO TECHNOLOGY OÜ. You may not use these without our prior written consent.

7. Data Ownership

Your Data: You retain all ownership rights to the data you upload to the Service ("Customer Data"). We do not claim ownership of your Customer Data.

License to Us: You grant us a limited license to use, process, and store your Customer Data solely to provide the Service to you and as described in our Privacy Policy.

Data Portability: You may export your data at any time using our export functionality. Upon subscription termination, we will retain your data for 30 days to allow export, after which it will be deleted.

AI Training: We do not use your Customer Data to train AI models. See our Privacy Policy for details on AI data processing.

8. Confidentiality

We treat your Customer Data as confidential information. We will:

• Protect your data using industry-standard security measures
• Restrict access to authorized personnel only
• Not disclose your data to third parties except as needed to provide the Service
• Comply with applicable data protection regulations (GDPR)

9. Warranties & Disclaimers

Service Warranty: We warrant that the Service will perform substantially as described in our documentation during your subscription period.

Disclaimer: Except as expressly stated, the Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

Compliance Disclaimer: While Regtrue helps you prepare compliance reports, we do not guarantee regulatory approval or acceptance. You are responsible for ensuring your submissions meet all regulatory requirements.

AI Disclaimer: AI-generated suggestions are assistive only and should be reviewed by qualified personnel before use. We do not guarantee the accuracy of AI-generated content.

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of profits, data, goodwill, or other intangible losses
• We are not liable for any regulatory penalties, fines, or sanctions you may incur

These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Abuse the Service or its users

11.3 Effect of Termination

Upon termination, your access to the Service will cease. You may export your data within 30 days of termination. After this period, your data will be deleted in accordance with our data retention policies.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new “Last updated” date
• Sending an email notification to your registered email address
• Displaying a notice within the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of Harju County, Estonia.

For consumers in the European Union, this does not affect your statutory rights under mandatory consumer protection laws in your country of residence.
